("CareWired," "we," "us," or "our"). These Terms constitute a legally binding agreement between you and CareWired. If you are using our Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
1. Acceptance of Terms

By accessing or using CareWired's services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using our services.

We reserve the right to modify these terms at any time. We will notify users of material changes via email or through our platform. Your continued use of CareWired after such modifications constitutes acceptance of the updated terms.

2. Eligibility and Account Registration
2.1 Age Requirements
You must be at least 18 years old to use CareWired. By using our services, you represent and warrant that you meet this age requirement.

To access certain features, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate and complete.
2.3 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account.
2.4 Account Termination
We reserve the right to suspend or terminate your account at any time for violations of these terms, fraudulent activity, or for any other reason at our discretion.
3. Use of Services
3.1 License Grant
Subject to these terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use CareWired for your personal or internal business purposes.
3.2 Restrictions
You agree not to: (a) use our services for any illegal purpose; (b) attempt to gain unauthorized access to our systems; (c) interfere with or disrupt our services; (d) use automated systems to access our services without permission; (e) impersonate any person or entity; (f) collect information about other users without consent.
3.3 Healthcare Provider Responsibilities
Healthcare providers using our platform must maintain all required licenses and certifications, comply with HIPAA and other healthcare regulations, provide accurate information about their services, and honor appointments made through our platform.
3.4 Patient Responsibilities
Patients agree to provide accurate health information, attend scheduled appointments or cancel in accordance with provider policies, and treat healthcare providers with respect.
4. Healthcare Services Disclaimer
4.1 No Medical Services
CareWired is a technology platform that facilitates connections between patients and healthcare providers. We do not provide medical services, advice, diagnosis, or treatment.
4.2 Provider Independence
Healthcare providers listed on CareWired are independent practitioners or entities. We do not employ providers, and we are not responsible for their actions, qualifications, or the quality of care they provide.
4.3 Emergency Services
CareWired is not intended for use in medical emergencies. If you are experiencing a medical emergency, call 911 or go to the nearest emergency room immediately.
4.4 Verification
While we verify provider credentials, we do not guarantee the accuracy, completeness, or currency of any provider information. Patients should independently verify provider qualifications.
5. Payments and Subscriptions
5.1 Provider Subscriptions
Healthcare providers must maintain an active paid subscription to list their services on CareWired. Subscription fees are billed monthly or annually as selected.
5.2 Payment Terms
All fees are non-refundable except as required by law. You authorize us to charge your payment method for all fees incurred. We may change our fees with 30 days' notice.
5.3 Late Payments
Failure to pay subscription fees may result in suspension or termination of your account and removal of your listings.
5.4 Patient Fees
CareWired is free for patients. Any fees for healthcare services are between patients and providers and are not processed through our platform.
6. Intellectual Property
6.1 Ownership
CareWired and its content, features, and functionality are owned by CareWired, Inc. and are protected by United States and international copyright, trademark, and other intellectual property laws.
6.2 Trademarks
The CareWired name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of CareWired, Inc. You may not use these without our prior written permission.
6.3 User Content
You retain ownership of content you submit to CareWired. By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such content in connection with our services.
6.4 Feedback
Any feedback, suggestions, or ideas you provide to us become our property, and we may use them without any obligation to you.
7. Privacy and Data Protection
7.1 Privacy Policy
Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these terms by reference.
7.2 HIPAA Compliance

8. Disclaimers and Limitations of Liability

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
8.2 No Warranty
We do not warrant that our services will be uninterrupted, secure, or error-free, or that defects will be corrected. We do not warrant the accuracy or completeness of content on our platform.
8.3 Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, CAREWIRED SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.
8.4 Maximum Liability
Our total liability to you for all claims arising out of or related to these terms or our services shall not exceed the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater.
9. Indemnification
9.1 Your Indemnification
You agree to indemnify, defend, and hold harmless CareWired and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from: (a) your use of our services; (b) your violation of these terms; (c) your violation of any rights of another party; (d) any content you submit.
10. Dispute Resolution
10.1 Governing Law
These terms shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, without regard to its conflict of law provisions.
10.2 Arbitration
Any dispute arising from these terms or our services shall be resolved through binding arbitration in accordance with the American Arbitration Association's rules, except that you may bring claims in small claims court if they qualify.
10.3 Class Action Waiver
You agree that any arbitration or proceeding shall be limited to the dispute between you and CareWired individually. To the fullest extent permitted by law, you waive any right to participate in a class action lawsuit or class-wide arbitration.
10.4 Venue
Any litigation that is not subject to arbitration shall be brought in the state or federal courts located in Boston, Massachusetts, and you consent to the jurisdiction of such courts.
11. Termination
11.1 Termination by You
You may terminate your account at any time by contacting us or through your account settings. Termination does not relieve you of any obligations incurred prior to termination.
11.2 Termination by Us
We may terminate or suspend your account immediately, without prior notice, for any reason, including breach of these terms. Upon termination, your right to use our services will immediately cease.
11.3 Effect of Termination
Upon termination, all licenses and rights granted to you will terminate. Provisions that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.
12. General Provisions
12.1 Entire Agreement
These terms, together with our Privacy Policy and any additional terms you agree to, constitute the entire agreement between you and CareWired regarding our services.
12.2 Severability
If any provision of these terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
12.3 Waiver
Our failure to enforce any right or provision of these terms will not be deemed a waiver of such right or provision.
12.4 Assignment
You may not assign or transfer these terms or your account without our prior written consent. We may assign our rights and obligations without restriction.
12.5 Force Majeure
We shall not be liable for any failure to perform our obligations due to causes beyond our reasonable control, including natural disasters, war, terrorism, riots, embargoes, acts of government, or other force majeure events.
